Commercial Agreements

Commercial Law

Meet Chris Brightling

Commercial agreements are at the centre of how your business operates.

From the products and services your business manufactures, supplies or purchases to your contractual relationships with customers, suppliers and partners, commercial agreements are not only important in assisting your business in achieving its commercial goals but they also offer clarity and protection, together with minimising and managing potential risk.

Our Commercial team here at Girlings assists and advises a range of businesses including UK and multi-national companies and SMES, partnerships, sole traders and charities/not for profit organisations operating within a broad range of commercial sectors.

Distribution agreements

If you are selling your products through a wide range of distribution channels you are likely to need legal agreements with your distributors. These will detail a wide range of terms and conditions including, whether the arrangement is exclusive or non-exclusive, payment terms, minimum sales targets, and how to handle termination of the relationship. We have expertise both in the UK and cross border distribution arrangements, exclusive and non-exclusive.

Non-disclosure agreements

Confidentiality agreements and NDAs for transactions, disclosure of intellectual property or otherwise – these agreements are important when you enter into discussions with someone else where you will be sharing important information about your business or ideas. We can draft, review and negotiate these agreements with you to ensure you are properly protected.

Trading agreements

Your business will have a wide range of commercial and trading relationships. They can be as individual as your business is. Here are some examples:

  • Service level agreements
  • Supply and purchase agreements for goods and/or services
  • Collaboration agreements
  • Terms and conditions of supply
  • Terms and conditions of purchase
  • Franchise agreements
  • Framework agreements
  • Commercial agency agreements
  • Sales agency agreements
  • Commission and dealership agreements

We can help you with preparing or negotiating such agreements and also advising on processes to make sure your preferred legal terms are properly incorporated into your trading arrangements

Testimonials

Chris and the team were absoutely brilliant. This is the first time I have sold a business and Chris made a complicated process simple! The process was far more complicated than it should have been and Chris worked tirelessly to drive this forwards to the agreed completion date. I could not have asked for more than what he and the team delivered for me and with very reasonable fees.
